These Terms of Service (the "Terms") govern your access to and use of the YODAI platform, website, applications, APIs and related services (together, the "Service"), operated by Yodai LLC ("YODAI", "we", "us" or "our"), a limited liability company organized under the laws of the State of Wyoming, United States. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. The Service
YODAI is an AI-first software development platform that helps developers and organizations build applications, APIs, automations and AI agents. Features, plans and limits may change, be added or be removed over time. We may release the Service, or parts of it, as beta or experimental functionality.
2. Eligibility & accounts
You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us promptly of any unauthorized use.
3. Acceptable use
You agree not to use the Service to:
- violate any applicable law or third-party right, including intellectual property and privacy rights;
- build or distribute malware, or attempt to disrupt, overload or compromise the Service or its infrastructure;
- reverse engineer, resell or provide unauthorized access to the Service;
- generate content that is unlawful, harmful, deceptive, or that infringes the rights of others;
- circumvent usage limits, security measures or access controls.
4. Your content
You retain all rights to the code, data, prompts and other materials you submit to or create with the Service ("Your Content"). You grant YODAI a limited, worldwide license to host, process and transmit Your Content solely as necessary to provide, secure and improve the Service. You are responsible for Your Content and for having the rights necessary to use it.
5. AI-generated output
The Service may generate code, text and other output using artificial intelligence. Output may be inaccurate, incomplete or unsuitable for your purpose. You are responsible for reviewing, testing and validating any output before relying on or deploying it. YODAI makes no warranty that output is error-free, secure or fit for any particular purpose.
6. YODAI intellectual property
The Service, including its software, design, trademarks and content (excluding Your Content), is owned by Yodai LLC or its licensors and is protected by law. These Terms do not grant you any right in our intellectual property except the limited right to use the Service as permitted here.
7. Plans, billing & refunds
Paid plans are billed in advance on a recurring basis until cancelled. Fees are non-refundable except where required by law or expressly stated. You authorize us (and our payment processors) to charge your payment method for applicable fees and taxes. We may change pricing with reasonable prior notice.
8. Third-party services
The Service may integrate with third-party products and services (for example, cloud, hosting, payments or messaging providers). Your use of those services is governed by their own terms, and YODAI is not responsible for them.
9. Disclaimers
The Service is provided "as is" and "as available", without warranties of any kind, whether express, implied or statutory, including warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted, secure or error-free.
10. Limitation of liability
To the maximum extent permitted by law, YODAI and its affiliates will not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, data, or goodwill. Our total liability arising out of or relating to the Service will not exceed the amounts you paid to us in the twelve (12) months before the event giving rise to the claim.
11. Indemnification
You agree to indemnify and hold harmless Yodai LLC from any claims, damages and expenses arising out of your use of the Service, Your Content, or your breach of these Terms.
12. Termination
You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms or to protect the Service or other users. Upon termination, your right to use the Service ceases; sections that by their nature should survive will survive.
13. Governing law
These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law rules. The courts located in Wyoming will have exclusive jurisdiction over any dispute, unless applicable law provides otherwise.
14. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will provide notice by updating the date above or by other reasonable means. Your continued use of the Service after changes take effect constitutes acceptance.
